Terms of Service

Please read these Terms of Service carefully before engaging in any business relationship with EOSYS. By placing an order or entering into a cooperation agreement, you agree to be bound by the following terms and conditions.
1. Company Information
These Terms of Service ("Terms") govern the relationship between you ("Client," "Customer," or "Partner") and Zhongshan City EOS Secure Technology Co., Ltd., operating under the brand name EOSYS ("Company," "we," "us," or "our").

2. Scope of Services
EOSYS is a high-precision lock cylinder manufacturer specializing in OEM/ODM production. Our services include but are not limited to:
- Design, development, and manufacturing of patented security lock cylinders
- Modular lock cylinder systems (31mm-120mm adjustable lengths)
- Master key system design, component supply, and factory-assembled solutions
- American standard cylinders (KIK, SFIC, Rim, Mortise)
- Scandinavian and Australian oval cylinder production
- Light customization (branding, packaging, laser marking, key card design)
- Deep customization (keyway profile, pin configuration, locking structure, security features)
These Terms apply to all quotations, orders, supply agreements, and cooperation arrangements between EOSYS and its clients worldwide.
3. Quotations and Orders
3.1 Quotations. All quotations issued by EOSYS are valid for the period specified therein. Unless otherwise stated in writing, quotations are valid for thirty (30) calendar days from the date of issue. Quotations do not constitute a binding offer until an order is confirmed by both parties.
3.2 Order Confirmation. An order is deemed confirmed only upon written acknowledgment by EOSYS (via email, signed proforma invoice, or formal purchase contract). Verbal agreements or informal communications do not constitute binding orders.
3.3 Order Modifications. Any modifications to a confirmed order (including but not limited to quantity changes, specification adjustments, delivery schedule changes) must be submitted in writing and are subject to EOSYS approval. Additional costs arising from order modifications shall be borne by the Client.
3.4 Minimum Order Quantities. Certain products and customization services are subject to minimum order quantities (MOQ). MOQ requirements will be communicated during the quotation process and may vary based on product type, customization level, and material specifications.
4. Pricing and Payment
4.1 Currency. Unless otherwise agreed in writing, all prices are quoted in United States Dollars (USD) or Chinese Yuan Renminbi (RMB) as specified on the proforma invoice.
4.2 Payment Terms. Standard payment terms are as follows unless a separate agreement is in place:
- Sample orders: 100% prepayment before production
- Bulk orders: 30% deposit upon order confirmation; 70% balance before shipment (T/T)
- Alternative payment arrangements (L/C, D/P, etc.) may be negotiated for established partners
4.3 Late Payment. In the event of late payment, EOSYS reserves the right to suspend production, delay shipment, or charge interest at a rate of 1.5% per month on the outstanding balance. EOSYS shall not be liable for any delivery delays caused by the Client's failure to make timely payments.
4.4 Taxes and Duties. Prices quoted are Ex-Works (EXW) or FOB unless otherwise stated. Import duties, taxes, customs clearance fees, and any other charges imposed by the destination country are the sole responsibility of the Client.
5. Custom Products and Samples
5.1 Sample Approval. For custom and OEM/ODM orders, EOSYS will produce pre-production samples for Client approval. The Client must review and provide written approval or feedback within fourteen (14) business days of receiving samples. Failure to respond within this period may result in production delays.
5.2 Sample Retention. Upon Client approval, EOSYS will retain sealed reference samples in our engineering and quality departments. These reference samples serve as the benchmark for batch production quality inspection.
5.3 Tooling and Fixtures. Custom tooling, inspection gauges (检具), and fixtures developed for a Client's specific products remain the property of EOSYS unless otherwise agreed in a separate written agreement. Tooling costs, if applicable, will be communicated during the quotation stage.
5.4 Non-Refundable Custom Orders. Due to the bespoke nature of custom-manufactured products (including but not limited to custom keyway profiles, proprietary pin configurations, branded key heads, and specific cylinder structures), custom orders are non-cancellable and non-refundable once production has commenced.
6. Intellectual Property
6.1 EOSYS Patents and IP. EOSYS holds over 100 patents worldwide, including EU invention patent EP4411093A1, multiple WIPO PCT filings, and numerous Chinese invention patents. All intellectual property rights relating to EOSYS' proprietary cylinder designs, security mechanisms, keyway profiles, and manufacturing processes are and shall remain the exclusive property of Zhongshan City EOS Secure Technology Co., Ltd.
6.2 Client IP. Where the Client provides proprietary designs, specifications, or branding materials for custom manufacturing, the Client retains ownership of such intellectual property. EOSYS will not use, disclose, or replicate Client-provided IP for any purpose other than fulfilling the agreed order.
6.3 Joint Development. For products co-developed by EOSYS and the Client, intellectual property ownership shall be defined in a separate written agreement prior to commencement of development work.
6.4 Prohibition of Reverse Engineering. The Client shall not reverse-engineer, disassemble, or attempt to replicate EOSYS' patented products, security mechanisms, or proprietary manufacturing techniques. Any violation of this clause constitutes a material breach of these Terms and may result in legal action.
6.5 Trademark Usage. The EOSYS brand name, logo, and associated visual identity elements are registered trademarks of Zhongshan City EOS Secure Technology Co., Ltd. Use of EOSYS trademarks by partners for marketing or resale purposes requires prior written authorization.
7. Confidentiality
7.1 Both parties agree to treat as confidential all technical specifications, engineering drawings, key charts, master key system architectures, pricing information, business strategies, and any other proprietary information exchanged during the course of cooperation.
7.2 Confidential information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or regulatory authority.
7.3 The obligations of confidentiality shall survive the termination of any business relationship between the parties for a period of five (5) years.
7.4 Master Key System Security. Given the security-sensitive nature of master key system data (including key charts, hierarchy diagrams, and pin configurations), both parties shall implement appropriate safeguards to prevent unauthorized access, duplication, or distribution of such information.
8. Quality Assurance and Standards
8.1 Manufacturing Standards. EOSYS operates under ISO 9001 and ISO 14001 certified quality management systems and is recognized as a National High-Tech Enterprise in China. All products are manufactured to a machining tolerance of ±0.01mm using imported Japanese TSUGAMI CNC Swiss-type machines.
8.2 Quality Control Process. Our dedicated 10-member quality control team implements a comprehensive inspection protocol:
- Incoming raw material inspection (spectral analysis and dimensional verification)
- First article inspection before batch production
- Sealed sample retention for reference
- 2-hour interval in-process inspections during production
- Tooling control management (replacement every 5,000 units)
- 100% finished product inspection
- Pre-shipment inspection reports provided to clients
8.3 Testing Capability. EOSYS operates an in-house laboratory capable of performing tests in accordance with EN1303 standards. Products can be engineered to achieve SKG*** and EN1303 highest-grade certifications upon request.
8.4 Material Compliance. All raw materials comply with RoHS requirements. EOSYS maintains agreements with material suppliers to ensure toxic substance content (lead, chromium, etc.) is controlled within EU-compliant limits.
8.5 Third-Party Audits. Our factory has successfully passed audits from leading international brands including Xiaomi, Huawei, and Allegion. Clients may arrange factory audits upon reasonable advance notice.
9. Shipping and Delivery
9.1 Delivery Terms. Unless otherwise specified in the order confirmation, delivery terms follow Incoterms® 2020 (e.g., EXW, FOB, CIF). The applicable Incoterm will be stated on the proforma invoice.
9.2 Lead Times. Estimated production lead times are provided at the time of order confirmation and are subject to change based on order volume, customization complexity, and material availability. EOSYS will use commercially reasonable efforts to meet agreed delivery schedules.
9.3 Risk of Loss. Risk of loss or damage to goods transfers to the Client in accordance with the applicable Incoterm. The Client is responsible for arranging adequate cargo insurance where appropriate.
9.4 Partial Shipments. EOSYS reserves the right to make partial shipments unless the Client has expressly stated otherwise in the order confirmation. Each partial shipment may be invoiced separately.
9.5 Inspection Upon Receipt. The Client shall inspect all goods within seven (7) business days of receipt. Any claims regarding visible defects, shipping damage, or quantity discrepancies must be reported in writing within this period. Failure to report within the specified timeframe constitutes acceptance of the goods.
10. Warranty and Claims
10.1 Product Warranty. EOSYS warrants that all products will conform to the agreed specifications and approved reference samples at the time of delivery. Products are manufactured to meet or exceed applicable industry standards.
10.2 Warranty Exclusions. The warranty does not cover:
- Damage resulting from improper installation, use, or maintenance
- Normal wear and tear
- Unauthorized modifications or repairs
- Damage caused during transit (subject to shipping insurance terms)
- Products used outside their intended application or environmental conditions
10.3 Claims Process. All warranty claims must be submitted in writing with supporting evidence (photographs, test reports, detailed descriptions). EOSYS will investigate and respond within fifteen (15) business days. Remedies may include replacement of defective goods, credit toward future orders, or other mutually agreed solutions.
10.4 Limitation of Liability. EOSYS' total liability for any claim shall not exceed the invoice value of the specific goods in question. EOSYS shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, business interruption, or reputational harm.
11. Exclusivity and Market Protection
11.1 EOSYS may enter into exclusive cooperation agreements with qualified partners for specific product models, keyway profiles, or geographic markets. The scope, duration, and conditions of exclusivity shall be defined in a separate written agreement.
11.2 Exclusivity arrangements are subject to the Client meeting agreed minimum order volumes and other performance criteria as stipulated in the exclusivity agreement.
11.3 In the absence of a signed exclusivity agreement, EOSYS retains the right to supply similar or identical products to other clients in any market.
12. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: natural disasters, epidemics or pandemics, war, terrorism, government sanctions or trade restrictions, labor disputes, power failures, raw material shortages, or disruptions to transportation or logistics infrastructure.
The affected party shall notify the other party in writing as soon as reasonably practicable and shall use commercially reasonable efforts to mitigate the impact of the force majeure event. If such event continues for more than ninety (90) days, either party may terminate the affected order without liability.
13. Export Compliance and International Trade
13.1 The Client is responsible for ensuring compliance with all applicable import/export laws, regulations, and trade sanctions in both the country of origin (China) and the destination country.
13.2 The Client shall provide all necessary import documentation, certifications, and regulatory information required for customs clearance in their respective markets.
13.3 EOSYS products are exported to Europe, Russia, the Middle East, North America, South America, and Southeast Asia. Product certifications and compliance documentation (e.g., EN1303, CE marking) are available upon request and may be subject to additional costs.
14. Governing Law and Dispute Resolution
14.1 These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
14.2 In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation within thirty (30) days.
14.3 If the dispute cannot be resolved through negotiation, it shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its then-current rules. The seat of arbitration shall be Guangzhou, China. The language of arbitration shall be English or Chinese as mutually agreed.
14.4 The arbitral award shall be final and binding upon both parties.
15. Website Usage
15.1 All content on the EOSYS website -- including text, images, product specifications, technical data, videos, and graphic design elements -- is the property of Zhongshan City EOS Secure Technology Co., Ltd. and is protected by applicable intellectual property laws.
15.2 Product images, specifications, and technical parameters displayed on the website are for reference purposes only. Actual products may vary slightly due to manufacturing tolerances, material batches, or display settings. Binding specifications are those confirmed in the official order documentation.
15.3 EOSYS reserves the right to modify, update, or remove any website content at any time without prior notice.
16. Data Protection and Privacy
16.1 EOSYS collects and processes personal and business data solely for the purpose of fulfilling orders, providing customer support, and maintaining business relationships. We do not sell or share Client data with unrelated third parties.
16.2 For Clients located in the European Union, EOSYS acknowledges the applicability of the General Data Protection Regulation (GDPR) and will process personal data in accordance with applicable data protection requirements.

17. Amendments
EOSYS reserves the right to amend these Terms of Service at any time. Updated terms will be published on our website with the revised effective date. For ongoing contracts, material changes will be communicated to affected partners in writing. Continued engagement with EOSYS after the publication of amended terms constitutes acceptance of the updated Terms.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with any signed purchase contracts, proforma invoices, exclusivity agreements, NDA agreements, and other written documents executed between the parties, constitute the entire agreement between EOSYS and the Client. In the event of any conflict between these Terms and a signed contract, the terms of the signed contract shall prevail.
